Banking and Finance In our Firm's banking and finance practice, we specialize in representing banks, commercial finance companies and hedge fund lenders in structuring and documenting secured and unsecured loan transactions, including senior secured revolving credit facilities, term loan facilities, letter of credit arrangements and other financial accommodations.

and acquisitions
• Financings for companies with a complex corporate
structure, including multiple layers of operating and
non-operating subsidiaries
• Restructuring and refinancing of existing credit facilities,
including termination and payout arrangements

including "tranche B" and mezzanine lenders, as well

from companies in bankruptcy (Section 363 sales)

manufacturers of steel, automotive parts, chemicals and
consumer products; nationally known branded apparel
manufacturers and distributors; record, book and
video distributors; retail and wholesale grocery
distributors; national, regional and local retailers;
agricultural suppliers; natural resource companies;
government contractors; airlines; and shipping,
package and cargo delivery companies
The Firm acts as co-general counsel to the Commercial Finance Association, the trade association that represents approximately 250 asset-based lenders in this $2 trillion per year industry. In this and other practice areas within the Firm, a number of our attorneys are active in the Association of Commercial Finance Attorneys, an organization of lawyers specializing in the representation of banks and commercial finance companies, and have been inducted into the American College of Commercial Finance Lawyers, whose membership requirements include not less than fifteen years' practice in this area, sponsorship by existing members and having been published or lectured on matters of significance to institutional lenders. Our participation and professional leadership in these organizations helps us keep abreast of legislative and judicial developments, and places us in a unique position to understand the legal and industry issues confronting our clients.
